We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that financial markets and regulations are subject to change, and past performance does not guarantee future results.

Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless ArcticSignal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any inaccurate or misleading information you provide
  • Any third-party claims related to your financial decisions or actions

Termination

Either party may terminate our professional relationship at any time with reasonable notice. Specific termination procedures and notice periods will be outlined in individual service agreements.

We reserve the right to immediately suspend or terminate your access to our services if:

  • You fail to pay fees when due
  • Your actions pose a risk to our business or other clients
  • We are required to do so by law or regulation

Upon termination, you must cease using our services and return any confidential materials. Provisions regarding confidentiality, intellectual property, limitation of liability, and governing law shall survive termination.

Governing Law

These Terms and any disputes arising from or related to your use of our services shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles.

Any legal proceedings arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark. However, we reserve the right to seek injunctive relief in any court of competent jurisdiction.

If you are a consumer residing in the European Union, you may also have rights under your local consumer protection laws, and nothing in these Terms shall limit such rights.

Dispute Resolution

Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or technical failures.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and ArcticSignal regarding your use of our services. They supersede all prior or contemporaneous communications and proposals.

No modification of these Terms shall be effective unless made in writing and signed by both parties, except for changes we make to these Terms as permitted herein.
